Welcome to Perch! These Terms of Use (the “Terms”) govern use of our web-based platform and use of our websites, applications, features, tools, products, resources, or services provided, owned or operated or made available by us or any of our affiliates (the “Services”).

Please take a moment to read these Terms carefully before creating an account or using any of the Services. These Terms are a legal contract between Mortgauge Corporation (“Perch” or “we” or “us” or “our”) and each person who uses the Services. If you are entering into these Terms on behalf of a company, organization or another legal entity, you are agreeing to these Terms for that entity and representing to Perch that you have the authority to bind such entity to these Terms.

In these Terms, we use the words “you” and “your” to refer to any user of our Services who accepts these Terms.

ACCEPTANCE

BY ACCESSING OR USING ANY PART OF THE SITE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. If you cannot enter into this agreement (for reasons such as not being authorized to do so on behalf of an entity, or not being over the age of majority), or do not want to accept these Terms, you should not access our site or the Services. These Terms may be updated or amended from time to time.

Arbitration Notice and Class Action Waiver. You agree that disputes between you and us will be resolved by binding, individual arbitration and you waive your right to participate in a class action lawsuit or class-wide arbitration.

Territorial Restrictions. We offer our Services in select provinces and territories within Canada only and we make no representations or warranties that the information, products, or services provided through the Services are appropriate for access or use in other jurisdictions. You are not permitted to access or use the Services in any jurisdiction or country if it would be contrary to the law or regulation of that jurisdiction or if it would subject us to the laws of, or any registration requirement with, such jurisdiction. We reserve the right to limit the availability of the Services to any person, geographic area, or jurisdiction, at any time and in our sole and absolute discretion.

Intellectual Property

Intellectual Property Rights. Perch retains all right, title, and interest in and to its respective patents, inventions, copyrights, trademarks, domain names, trade secrets, know-how, and any other intellectual property and/or proprietary rights now existing or in the future arising (the “Intellectual Property Rights”). Similarly, you retain all right, title, and interest in and to your Intellectual Property Rights. The rights granted to you to use the Services under these Terms do not convey any additional rights in the Services, nor in any Intellectual Property Rights of Perch associated with the Services. Subject only to the limited rights of use and access of the Services stated in these Terms, all rights, title and interest in and to the Services, including Intellectual Property Rights therein, will remain with, and belong exclusively to, Perch.

License to You. Perch grants you a limited license to access and use (i.e., display, print, download) the materials and content within the Services on a personal computer or device for your own personal, non-commercial use, provided that:

  • You retain and keep intact all copyright, trademark or other proprietary notices (such as © 2026 Mortgauge Brokerage Incorporated. All Rights Reserved);
  • You do not disseminate or distribute our materials or content publicly without getting our permission in writing to do so;
  • You do not sell or otherwise commercialize our materials or content for your own gain or for the gain of any other person;
  • You are not a competitor of Perch or any of its affiliates and you do not intend to become a competitor of Perch or any of its affiliates; and
  • You abide by these Terms, including our terms of Acceptable Use below.

Confidentiality. You understand and agree that any non-public information we provide to you, such as information about how the Service operates, the contents of any technical documentation, descriptions of any technical safeguards and measures, any communications related to these Terms or the Services, and any other non-public information (collectively, “Confidential Information”) are our proprietary and confidential information. Unless disclosure is required by applicable law or court order, you agree to not disclose Confidential Information to any person other than your legal advisor, accountant, financial advisor or employees who need to know such information for the purpose of advising you (“Advisor”), provided the Advisor uses such information solely for the purpose of advising you and also agrees to maintain the confidentiality of the Confidential Information.

Your Feedback and Contributions. We love to receive your feedback about the Services and to include your contributions in our resources where possible. To ensure we have the proper rights to do this, any feedback or contributions you submit to Perch will not be considered confidential or proprietary, and you hereby grant Perch an exclusive, royalty-free, worldwide, perpetual and irrevocable right and license to use your feedback and contributions, including incorporating them into the Services and sharing them with others who use the Services. Please note that providing feedback or contributions does not make you an author, inventor, or contributor of the Services and does not entitle you to any compensation or to any ownership rights in the Services. Additionally, Perch reserves the right to seek intellectual property protection for any feature, functionality, or component that may be based on, or that was initiated by, your suggestions.

Third-Party Services. We may offer integrations with third-party services that you may choose to use with our Services for your convenience. In such cases, your use of such third-party services and integrations may be subject to additional legal terms of those third parties and not just these Terms. For example, we enable Google’s Maps features and content; the use of Google Maps features and content is also subject to Google Maps / Google Earth Additional Terms of Service and the Google Privacy Policy. Perch is not responsible for third-party services.

Acceptable Use

Users of our Services are expected to behave responsibly and to show respect for our people, our Intellectual Property Rights, other users of Perch’s Services, and the law. You agree that you will only use the Services in a manner that is compliant with all applicable laws. You also agree to communicate with Perch team members in a mutually respectful manner at all times.

In addition, you must not:

  • “frame” or “mirror” any content from our Services on any other website or server without Perch’s express prior written approval;
  • post or transmit any material that is unlawful, harmful, defamatory, obscene, profane, discriminatory, harassing, threatening, infringing of Intellectual Property Rights, invasive of privacy rights, or otherwise objectionable;
  • harvest, scrape or otherwise collect (including through use of any robot, spider, crawler, program, or other technology or device) information about others from our Services, including names and email addresses, without Perch’s prior written consent;
  • probe, scan or test the vulnerability of the Services or any website, or breach the security or authentication measures of the Services;
  • forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send on or through the Services;
  • pretend that you are, or that you represent, someone else, impersonate any other individual or entity, or access, use, or attempt to access or use, another user’s account;
  • reverse engineer, decompile, disassemble, or otherwise tamper with the Services or attempt to derive or access the source code, algorithms, or architecture of the Services;
  • modify any other website or service so as to falsely imply association with the Services or Perch; or
  • use the Services to develop a competing product or service or train any artificial intelligence or machine learning model, product, or service, or to benchmark the Services for a competitor or any purpose other than your own internal business purposes in accordance with the Terms.

You agree to not use any API in any way or for any purpose other than the specific API use cases, endpoints, functions, methods, workflows, data submissions, and purposes expressly approved by Perch in writing from time to time in respect of an API (an “Approved API Use”) and in strict accordance with the terms of such Approved API Use and any other API documentation that Perch may provide from time to time. For the purposes hereof “API” means any application programming interface, endpoint, method, route, schema, payload specification, developer tool, sandbox, authentication mechanism, token, key, credential, software library, technical documentation, or other programmatic access method made available by or on behalf of Perch.

Perch reserves the right to suspend or terminate your use of any or all of the Services, or take other appropriate remedial action, to address any inappropriate conduct or any violation or suspected violation of these Terms.

Not Offering Any Advice. All information provided to you through the Services is for informational purposes only and is not intended to provide specific financial, investment, tax, legal, accounting or other advice to you, and should not be acted or relied upon in that regard without seeking the advice of a qualified professional. Furthermore, no endorsement or approval of any third party or its advice, opinions, information, products or services is expressed or implied by any information provided to you through the Services. Your professional advisor(s) can help to ensure that your own circumstances have been properly considered and any action is taken on the latest available information.

Mortgage Tools are Estimates Only. All tools, calculations and estimates provided through the Services are intended to provide you with estimates only. Any calculations, estimates or results provided through the Services are based on the accuracy and completeness of the information you provide and are subject to additional terms and conditions, as described in these Terms and any additional communications Perch may provide you, including but not limited to any pre-approval confirmation letter you may receive.

Mortgage Pre-Approvals. If you submit a mortgage pre-approval application using the Services and such pre-approval application is approved, you should receive a pre-approval confirmation letter from a licensed mortgage registrant on behalf of Perch Mortgage Brokerage. Any pre-approval you may receive directly or indirectly as a result of using the Services is not equivalent to a mortgage approval and any such pre-approval is subject to the terms and conditions set forth in such pre-approval confirmation. As such, Perch recommends that you consult with your mortgage professional and other professional advisors before taking any action, including waiving any financing conditions in any offer to purchase.

Rates, Offers, Pre-Approvals and Lender Terms. Any rates, offers, pre-approvals, pre-qualification results, mortgage options, lender terms, estimated payments, savings estimates, affordability estimates, or other information displayed or made available through the Services are provided for informational purposes only on behalf of Perch Mortgage Brokerage and are not a mortgage approval, commitment to lend, or guarantee of financing. All such information is subject to change without notice and remains subject to lender review, underwriting, verification of the information you provide, credit approval, property appraisal, insurer approval where applicable, satisfaction of lender conditions, and any other requirements imposed by the applicable lender or insurer. A lender may decline, withdraw, revise, or condition any rate, offer, pre-approval, or term at any time, including after a pre-approval confirmation has been issued. You should not rely on any rate, offer, pre-approval, or other information made available through the Services as a final approval or binding commitment unless and until you have received a final written approval or commitment from the applicable lender and satisfied all applicable conditions.

Perch is an Intermediary Only. You acknowledge that Perch is solely an intermediary (i) between you and any credit reporting agency or other information providers supplying your credit reports, credit scores and other information; and (ii) between you and our business partners whose offers we may present. Perch expressly disclaims any liability for any errors or omissions in our content or our Services, including the inaccuracy or incompleteness of any such credit reports, credit scores, offers or other information, tools or analyses available through the Services or our content.

User Accounts

In order to access and use certain of the Services, you must create an account and specify a login ID and password. You must provide truthful and accurate information when you create an account and when using the Services. Do not create an account if you are not authorized to do so or impersonate anyone else when you create your account.

User Accounts. You are responsible for all activities that occur under your user account and for any issues, claims, or disputes arising out of the conduct of users of such account. You are responsible for maintaining the security and confidentiality of your login ID and password. Please reset your password immediately and notify us immediately at support@myperch.io if:

  • You believe that your login ID and password have been compromised;
  • Your login ID or password is no longer a secret;
  • A device that you use to access the Services has been lost or stolen; or
  • You believe that someone is using your account without your permission, or if you believe that any unauthorized activity has occurred on your account.

We may also temporarily restrict access to an account if we feel that the account credentials may have been compromised. For your account safety and convenience, Perch makes some optional security features available through the account settings, which we encourage each user to use, and also recommends using strong, unique passwords.

Perch will not be liable for any losses or damages caused by any user’s failure to maintain the confidentiality of its account and its account credentials. We may access your account as needed in order to respond to your requests for account security, as well as for any technical or other support deemed necessary. In order to do so and to protect the security of your account, we may from time to time require you or an account administrator of your account to confirm/verify your identity, and provide any other information/documents we may consider appropriate at our discretion.

Privacy Compliance. To better understand your financial needs and make you aware of new services that could help you reach your goals, we may collect personal information from a variety of sources. By accessing or using any part of the site or Services, you acknowledge that you have read, understood and agree to be bound by our Privacy Policy, a copy of which is available here.

Questions About User Data. If you have any questions about the management of data in the Services, you can use the Contact Us functionality to get in touch with us.

Anonymized / Aggregated Data. Perch may use computer-generated algorithms to gather certain user information in order to assist in our continued development and improvement of the Services and products, and for the purpose of analysis or compiling statistical data.

Security

Safeguards. Perch will establish and maintain an information security program that is in line with industry standards and is reasonably designed through administrative, physical and technical safeguards to: (i) protect the security and confidentiality of user data; (ii) protect against any anticipated threats or hazards to the security or integrity of the user data; (iii) protect against unauthorized access to or use of user data; and (iv) ensure the proper disposal of user data. These program safeguards include security policies and training for our personnel, access controls, security certifications and practices for our data centers. Although considerable care has been taken with respect to Perch’s information security program, there remains a possibility of data security violations occurring. In the event of such breaches, Perch will not be liable or responsible for any damages you may suffer as a result except, and only to the extent, such damages are directly caused by Perch’s failure to comply with applicable law or these Terms. In no event will Perch be liable or responsible for any direct, indirect, special or consequential damages howsoever caused, arising out of the use of the Services.

Termination

Termination by Us. Perch may, in its sole and absolute discretion, terminate, suspend, cancel or block your account and/or access to the Services at any time, without notice or liability to you. Perch may also, in its sole and absolute discretion, discontinue, suspend, alter or otherwise modify the Services at any time, without notice or liability to you.

Legal Limits

Disclaimer. We want to provide great Services; however, there are certain things about the Services that we cannot promise. For example, Perch cannot promise, and does not represent or warrant that:

  • The Services will meet your specific needs or requirements;
  • The Services will be uninterrupted, timely, 100% secure or free from errors, viruses or other defects; or
  • Information provided through the Services will be accurate, timely, complete or reliable.

You use the Services, including all tools, calculations, estimates, results or other information provided through the Services, at your own discretion and risk. You assume all risk for any damages that may result from your use of or access to the Services, your dealings with any third-party, and your use of tools, calculations, estimates, results or other information provided through the Services. You are solely responsible for any damage to your property (including any computer system or mobile device used in connection with the Services), or the loss of data that may result from the use of the Services or the use of any tools, calculations, estimates, results or other information provided through the Services.

The tools, calculations, estimates, results and other information provided through and/or as a result of your use of the Services, including any pricing or qualification information, are believed to be reliable when posted but there is no guarantee that they are accurate, complete or current at all times. Without limiting the foregoing, such information may include technical inaccuracies or typographical errors and Perch has no obligation to update such information. The information, material and content provided in, through and/or as a result of your use of the Services may be changed, withdrawn or terminated at any time without notice or liability to you.

YOU UNDERSTAND AND AGREE THAT: (A) EXCEPT AS SPECIFICALLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY AND THAT USE OF THE SERVICES IS AT YOUR SOLE RISK; AND (B) PERCH MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, QUALITY OR NON-INFRINGEMENT.

THE TOTAL LIABILITY OF EITHER OF US UNDER THESE TERMS WILL BE LIMITED TO THE AMOUNT YOU PAID TO PERCH FOR USE OF THE SERVICES IN THE THREE (3) MONTH PERIOD PRECEDING THE DATE OF THE CLAIM, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATION TO PERCH. FOR GREATER CERTAINTY, SUCH AMOUNTS EXPRESSLY EXCLUDE ANY FEES PAID TO PERCH MORTGAGE BROKERAGE OR ANY OTHER AFFILIATE OF PERCH.

REGARDLESS OF THE ABOVE, NEITHER OF US WILL BE LIABLE, UNDER ANY CIRCUMSTANCES, FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, SUCH AS LOST REVENUE OR BUSINESS INTERRUPTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY DEPENDING ON WHERE YOU LIVE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Governing Law and Disputes

Governing Law. The Services are provided by Perch from its offices in Toronto, Canada. All matters relating to access to and use of the Services will be governed by the laws of the Province of Ontario, Canada without giving effect to any conflict of laws principles.

Disputes. In the event of a dispute, we both agree to try to settle the dispute through consultation and negotiation in good faith and a spirit of mutual cooperation. We may also agree to use some form of non-binding alternative dispute resolution, such as mediation. If we are unable to resolve the dispute within 60 days after it first arose, all disputes must be resolved by binding arbitration before a single arbitrator with relevant experience. The arbitration will be held in Toronto, Ontario and will be administered by ICDR Canada (www.icdr.org/icdrcanada) in accordance with its Canadian Expedited Procedures. If you are a resident in any jurisdiction in which the provisions of this section are found to be unenforceable, then any disputes, claims or causes of action arising out of or in connection with these Terms will be governed by and construed under the laws of your jurisdiction of residence and shall be resolved by a competent civil court in your jurisdiction of residence. You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to, or connected with the use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose or shall be forever barred.

Class Action. Neither you nor we will participate in a class action or class-wide arbitration for any claims covered by these Terms. YOU ARE GIVING UP YOUR RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER ON ANY CLASS CLAIM YOU MAY HAVE AGAINST US, INCLUDING, WITHOUT LIMITATION, ANY RIGHT TO CLASS ARBITRATION OR ANY CONSOLIDATION OF INDIVIDUAL ARBITRATIONS. YOU FURTHER AGREE NOT TO PARTICIPATE IN CLAIMS BROUGHT IN A PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE CAPACITY, OR CONSOLIDATED CLAIMS INVOLVING ANOTHER PERSON’S ACCOUNT, IF WE ARE THE PARTY TO THE PROCEEDING.

30-Day Opt-Out. If you do not wish to be bound by the arbitration and class-action waiver provisions in these Terms, you must notify us in writing within thirty (30 days) of the date that you first accept these Terms, unless a longer period is required by applicable law. You must then resolve any disputes against us in accordance with the governing law and jurisdiction set out above. If you do not notify us in accordance with this paragraph, you agree to be bound by the terms of this section, including, without limitation, the arbitration and class-action waiver provisions. Such notification must include: (i) your name; (ii) your email address and mailing address; and (iii) a statement that you do not wish to resolve disputes with us through arbitration or waive your ability to participate in a class action. A notification sent pursuant to this paragraph solely affects these Terms; if you previously entered into other arbitration or dispute resolution agreements with us or enter into other such agreements in the future, your notification that you are opting out of the provisions in this section shall not affect the other arbitration agreements between you and us.

Indemnification. You hereby agree to defend, indemnify, and hold us (including third-party licensors and affiliates and each of our and their respective directors, officers, shareholders, employees, agents and subcontractors) harmless from and against any liability, loss, claim, and expense, including legal fees and disbursements on a solicitor-client basis: (i) related to your violation of these Terms; (ii) your use of the Services including any information provided to you through the Services; or (iii) any dispute between you and any third-party (including any provider of third-party content).

Disclosure and Consent to Electronic Communications. You understand and agree that you are entering into these Terms electronically and that certain categories of information (“Communications”) may be provided by Perch to you by electronic means (e.g., via email, through the Services by displaying links to notices generally on the website, or to your mobile device), unless and until you withdraw your consent as described below. The categories of Communications that may be provided by electronic means include:

  • these Terms and any amendments, modifications, or supplements;
  • disclosures or notices provided in connection with the Services, including any which we may be required to give under law (such as privacy notices, opt-out notices, and change-in-terms notices);
  • customer service communications; and
  • any other communication related to the Services or products or services offered by Perch or any of its affiliates.

All Communications in either electronic or paper format (if we choose to do so) will be considered to be “in writing.” You should print a paper copy of these Terms and any Communications that are important to you and retain the copy for your records. By agreeing to the Terms, you are also agreeing to receive all documents, communications, notices, contracts, and agreements relating to your access and use of the Services electronically. If you do not wish to receive these Terms or the Communications electronically, you may not access or use the Services.

If you have created an account with us and you wish to withdraw your consent to have Communications provided electronically, you must close your account by contacting us, and stop accessing and using the Services. Any withdrawal of your consent to receive electronic Communications will be effective only after we have a reasonable period of time to process your withdrawal and only after all amounts payable to us from you, if any, have been received by us.
